Reliance to Retain Control of Jio After IPO as Stake Falls to 64.4%

Reliance Industries is expected to retain control of Jio Platforms after its Rs 30,213-crore IPO, despite a reduction in its ownership stake.

Jio Platforms’ Rs 30,213-crore initial public offering (IPO) will reduce Reliance Industries Limited’s ownership percentage in the digital services company, but the parent is expected to retain control after the listing. The IPO comprises newly issued shares rather than shares being sold by existing investors, allowing Jio Platforms to raise fresh capital.

The offering opened for subscription on 21 October and is scheduled to close on 23 October 2026. Moody’s Ratings has described the transaction as credit positive for Reliance, citing the potential to reduce debt-servicing costs and strengthen funding flexibility for future investments.

Reliance’s Stake Will Decline After the IPO

Reliance Industries currently owns approximately 66.4% of Jio Platforms. Following the fresh issue of 27 crore equity shares, its stake is expected to fall to around 64.4%, according to figures reported from the company’s offer documents.

The reduction is due to dilution: Jio Platforms will issue additional shares, increasing the total number of shares in the company. Reliance’s percentage ownership will therefore decline even though it is not selling its existing shares through the IPO.

With a stake comfortably above 50%, Reliance is expected to retain control of Jio Platforms after the listing. The IPO will also give public-market investors an opportunity to invest directly in the digital services business.

How Jio Platforms Plans to Use the IPO Proceeds

Jio Platforms is seeking to raise approximately Rs 30,213 crore at the upper end of its price band. The issue consists entirely of fresh equity shares, with no offer-for-sale component from existing shareholders.

According to reports on the offer, up to Rs 27,500 crore of the proceeds is earmarked for repaying borrowings at Reliance Jio Infocomm Limited, Jio Platforms’ wholly owned telecom subsidiary. The remaining proceeds are intended for general corporate purposes, subject to the offer documents.

Using equity proceeds to repay borrowings could reduce interest expenses and provide greater room to fund network expansion and digital services. However, the actual financial benefit will depend on the amount of debt repaid and the company’s future investment requirements.

Moody’s Says the IPO Could Strengthen Reliance’s Financial Flexibility

Moody’s Ratings has said the IPO is credit positive for Reliance Industries because the proceeds are expected to reduce debt and associated servicing costs.

The agency also sees the transaction as a way to broaden Jio Platforms’ access to capital for future investment in telecommunications networks and digital services. A listed Jio Platforms could have more options for raising funds through equity markets and other financing channels.

The benefit should not be confused with a guaranteed sharp improvement in Reliance’s overall financial position. Moody’s assessment highlights funding flexibility, while continued capital expenditure remains an important consideration for the group.

Employees and Eligible Reliance Shareholders Have Reserved Portions

The IPO includes reserved portions for eligible employees and eligible shareholders of Reliance Industries, subject to the conditions specified in the offer documents.

The reservation does not mean every employee or Reliance shareholder is automatically entitled to an allotment. Applicants must meet the relevant eligibility requirements and follow the application process. Shareholder eligibility is linked to the cut-off conditions set out in the offer documents.

Investors should check the official IPO documents for the applicable reservation limits, eligibility criteria, price band, application requirements and risk factors before applying.

What the IPO Means for Reliance and Jio

The listing is a significant step for Reliance’s digital business. It allows Jio Platforms to raise fresh capital, creates a publicly traded valuation for the business and may help fund future investments without relying entirely on additional borrowing.

For Reliance Industries, the key point is that ownership dilution does not necessarily mean loss of control. Its stake is expected to decline from approximately 66.4% to 64.4%, while remaining the controlling shareholder.

The longer-term impact will depend on how effectively Jio Platforms uses the proceeds, how its telecom and digital businesses perform, and how much capital is needed for future expansion. The IPO could strengthen funding flexibility, but it does not remove the financial and execution risks associated with large investments.
