Jio Platforms Targets US$108.3 Billion Valuation in IPO

Jio Platforms has filed its updated prospectus for an initial public offering that could raise up to Rs 30,213 crore, making it India’s largest IPO by rupee value if completed at the upper end of the reported price band. The offer is scheduled to open on 21 October and close on 23 October, with bidding for anchor investors on 19 October.

The digital and telecom arm of Reliance Industries has set a reported price band of Rs 1,065–1,119 per share. At the upper end, the issue implies a valuation of approximately US$108.3 billion, or around Rs 10.3 lakh crore. The listing will give public-market investors an opportunity to buy shares in a business spanning mobile connectivity, digital services, cloud computing, entertainment and artificial intelligence.

Jio Platforms IPO: Key dates and offer details

Jio Platforms filed its red herring prospectus with the Registrar of Companies in Gujarat on 14 October, following its earlier draft prospectus and the regulatory review process. The public issue is scheduled for 21–23 October, while anchor investors can bid on 19 October. The shares are expected to list on 28 October, subject to the applicable process and final exchange arrangements.

The offering comprises up to 27 crore fresh equity shares, each with a face value of Rs 10. Because it is a fresh issue rather than an offer for sale, the proceeds will go to Jio Platforms instead of directly to existing shareholders selling their holdings.

At the upper end of the reported price band, the company could raise approximately Rs 30,213 crore. The issue also includes reservations of up to Rs 500 crore for eligible Jio Platforms employees and up to Rs 2,500 crore for eligible Reliance Industries shareholders, subject to the prospectus conditions.

What the price band means for investors

The reported price band of Rs 1,065–1,119 places the implied equity valuation at roughly Rs 9.8 lakh crore at the lower end and Rs 10.3 lakh crore at the upper end. The final valuation will depend on the price at which the shares are issued.

Investors must bid for a minimum of 12 shares and in multiples of 12 thereafter, according to Moneycontrol’s report on the price band. A 12-share application would cost Rs 12,780 at the lower price and Rs 13,428 at the upper price, before any applicable charges.

The valuation is a headline figure, but it does not by itself establish whether the IPO is attractively priced. Investors will need to assess the company’s earnings, debt, future investment requirements, competitive position and ability to expand revenue beyond connectivity services.

Jio’s financial performance ahead of the listing

Jio Platforms reported consolidated revenue from operations of Rs 1,46,885 crore for the financial year ended March 2026, up from Rs 1,28,218 crore in FY25. Net profit rose to about Rs 30,049 crore from Rs 26,109 crore, while EBITDA increased to Rs 76,255 crore. The reported EBITDA margin was approximately 51.9%.

These figures provide a financial base for evaluating the IPO, but investors should also examine the composition of revenue and the capital requirements of the wider business. Jio Platforms includes the telecom operation as well as digital and technology businesses, so its consolidated performance should not be confused with the financial results of Reliance Jio Infocomm alone.

The prospectus is also important for understanding risks that could affect future earnings. Reuters reported that Jio has flagged potential constraints from data-protection and telecom regulations on data-driven monetisation. That matters because the company’s large customer base creates opportunities for digital services and advertising, but converting usage into revenue remains dependent on consumer demand, regulation and execution.

    Telecom scale and competition

Reliance Jio Infocomm has become India’s largest mobile operator by subscriber base since its commercial launch in 2016. Its entry transformed the market through aggressive pricing and the rapid expansion of mobile data services, forcing competitors to respond with changes to tariffs, network investment and bundled offerings.

TRAI’s subscriber data provides a useful way to assess its position in the mobile market. The telecom business also benefits from the scale of its network and the growing use of data-intensive services, although subscriber totals and data-traffic share can vary by reporting period and measurement method.

Competition remains significant. Bharti Airtel continues to invest in its mobile network and digital services, while Vodafone Idea is working to improve its network and financial position. The market’s future will depend not only on subscriber additions but also on average revenue per user, 5G adoption, data consumption, network costs and the ability to generate returns on capital expenditure.

For Jio Platforms, the IPO will allow investors to evaluate a broader digital-services business rather than just a conventional telecom operator. Its prospects will depend on how successfully it combines connectivity with entertainment, cloud services, enterprise offerings and other digital products.

How Jio Platforms plans to use the IPO proceeds

Jio Platforms intends to use up to Rs 27,500 crore of the proceeds to repay or prepay certain borrowings of its material subsidiary, Reliance Jio Infocomm. The remaining funds are earmarked for general corporate purposes, including capital expenditure.

The planned debt repayment is a central element of the offer. Reducing borrowings at the telecom subsidiary could affect financing costs and the balance sheet, while the amount available for other purposes will depend on the final issue size and expenses.

Because the IPO is a fresh issue, the company itself receives the proceeds. This differs from an offer for sale, in which the money generally goes to existing shareholders who sell their shares.

What investors should watch before subscription

The upcoming prospectus and issue documents will be important for assessing the company’s financial performance, risk factors, shareholding structure and use of funds. Investors should review the final offer terms and compare the implied valuation with earnings, debt and the company’s growth prospects rather than relying on the headline US-dollar valuation alone.

The offer could become India’s largest IPO by rupee value, surpassing Hyundai Motor India’s 2024 issue if Jio Platforms raises the full amount at the reported upper price. The final outcome, however, will depend on demand, pricing and the completion of the issue process.

Jio Platforms’ filing marks a significant step towards its public-market debut. For India’s telecom sector, the listing could provide a more direct way for investors to assess the value of Jio’s connectivity and digital-services businesses, while the prospectus offers a clearer view of the financial and regulatory risks that will shape its next phase of growth.
